What it covers

What a commercial umbrella actually does.

An umbrella provides additional liability limits above the policies underneath it, typically your general liability, your commercial auto, and the employer's liability portion of your workers compensation. When a covered claim exhausts the underlying limit, the umbrella responds for the excess. Limits usually start at $1 million and go up in increments, and the pricing per million is generally far lower than the primary policy because the umbrella only pays after the primary is gone.

The mechanics people miss: an umbrella follows the form of the policies beneath it, which means it generally only covers what they cover. It also requires you to maintain specified minimum underlying limits, listed on a schedule of underlying insurance. If you reduce a primary limit or let a policy lapse, you can create a gap the umbrella will not fill, and you may be responsible for the difference yourself.

It also does not automatically extend over everything. Professional liability, cyber, and directors and officers coverage generally sit outside a standard umbrella unless they are specifically scheduled. If a contract requires excess limits over your E&O, that is a different conversation.
